These Terms and Conditions (“Terms”) govern your access to and use of das.edu, and other sites operated by Adventus Education LLC (“us”, “we”, or “our”). By accessing or using Downey Adult School, you agree to be bound by these Terms. If you do not agree, you may not use our services.

Acceptance of Terms

By creating an account, signing in, or otherwise using our platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Service

Downey Adult School is a survey and outcomes-tracking platform designed for educational institutions to collect graduate outcomes data, manage communications, and generate reports. We may modify, suspend, or discontinue any part of the service at any time, with or without notice.

SMS and Text Message Communications

By providing your mobile number, you agree to receive text messages from Downey Adult School. Standard messaging rates may apply. You can opt out at any time by replying STOP to any message you receive. Downey Adult School will not share or sell your phone number with any third parties.

User Accounts

You are responsible for:

Providing accurate and complete registration information
Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Notifying us promptly of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

Acceptable Use

You agree not to:

Use the service for any unlawful purpose or in violation of applicable regulations, including FERPA and other education privacy laws
Upload, transmit, or store content that is defamatory, harassing, infringing, or otherwise objectionable
Attempt to gain unauthorized access to our systems, other users’ accounts, or third-party systems
Interfere with or disrupt the integrity or performance of the service
Use automated means to scrape, harvest, or extract data from the platform without our written consent
Resell, sublicense, or commercially exploit the service except as expressly permitted in your subscription agreement

Your Content and Data

You retain ownership of data and content you submit through the platform (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide and improve the service. You are solely responsible for ensuring you have the right to collect, use, and share any personal information you upload, including obtaining required consents from students and alumni.

Intellectual Property

The service, including its software, design, logos, documentation, and other materials, is owned by Adventus Education LLC or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license or other rights are granted to you.

Subscriptions and Payment

Paid features are subject to the pricing and billing terms presented at the time of purchase or in your order form. Fees are non-refundable except where required by law or expressly stated in your agreement. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance of the new fees.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVENTUS EDUCATION LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Adventus Education LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the service, or your violation of these Terms or applicable law.

Termination

You may stop using the service at any time. We may suspend or terminate your access for breach of these Terms or for any other reason with notice where practicable. Upon termination, your right to use the service ends; provisions that by their nature should survive (including limitations of liability and indemnification) will remain in effect.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms at this URL. Your continued use of the service after changes become effective constitutes acceptance of the revised Terms.
